These Terms of Service ("Terms") form a binding agreement between you and Textile ("Textile," "we," "us," or "our") governing your access to and use of Textile's website, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
We may modify these Terms at any time. If we make material changes, we will provide notice by posting the updated Terms on the Service and updating the "Last Updated" date above, and, where required by law, by additional means. Changes take effect when posted unless stated otherwise. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

By submitting User Content, you grant Textile a non-exclusive, worldwide, transferable, sub-licensable, royalty-free license to host, store, cache, reproduce, modify (for technical purposes, e.g., formatting), publish, publicly display, publicly perform, and distribute your User Content solely in connection with operating, providing, securing, and improving the Service. This license does not give Textile any right to sell your User Content to third parties for their own independent use.
You represent and warrant that you own your User Content or otherwise have the right to grant the license above, and that your User Content, and Textile's use of it under this license, does not infringe, misappropriate, or violate the rights of any third party.
You may not post, upload, transmit, or engage in any of the following on the Service:
Subject to the prohibitions above and to our legal obligations, Textile values free expression and does not remove or restrict User Content on the basis of viewpoint, political ideology, or opinion. Users may use available tools, such as blocking other users or muting communities, to curate their own experience.
Notwithstanding the foregoing, Textile reserves the right, but assumes no obligation, to review, remove, or restrict access to any User Content or account, in its sole discretion, including where reasonably necessary to comply with applicable law, respond to valid legal process, or address a violation of the prohibitions above.
Textile respects the intellectual property rights of others and responds to properly submitted notices of alleged copyright infringement under the Digital Millennium Copyright Act, 17 U.S.C. ยง 512 ("DMCA").
If you believe your copyrighted work has been posted on the Service without authorization, send a written notice to our designated Copyright Agent that includes: (1) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the allegedly infringing material and information reasonably sufficient to locate it on the Service; (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, made under penalty of perjury, that the notice is accurate and that you are authorized to act on the copyright owner's behalf.

Upon receipt of a compliant notice, Textile will remove or disable access to the identified material and notify the user who posted it, who may submit a counter-notice under 17 U.S.C. ยง 512(g). Textile maintains a policy of terminating, in appropriate circumstances, the accounts of repeat infringers.
Textile is an interactive computer service. Except as required by applicable law โ including intellectual property law, federal criminal law, and other areas not covered by Section 230 of the Communications Decency Act, 47 U.S.C. ยง 230 โ Textile is not treated as the publisher or speaker of User Content provided by others, and disclaims liability for such content accordingly.
Textile does not pre-screen User Content and is not obligated to monitor the Service, but reserves the right to do so and to take the actions described in Section 4.
These Terms remain in effect until terminated. You may stop using the Service and, where available, delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for violation of these Terms, in our sole discretion.
Upon termination, your right to access the Service ceases immediately. Section 3 (as to content already licensed), and Sections 5, 6, 8, 9, 10, and 11, along with any other provision that by its nature should survive, will survive termination.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TEXTILE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT IS ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEXTILE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, ANY USER CONTENT, OR THE CONDUCT OF ANY THIRD PARTY ON THE SERVICE, EVEN IF TEXTILE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TEXTILE'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TEXTILE, IF ANY, IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Textile is not responsible for User Content posted by others, for third-party websites linked from the Service, or for your reliance on information posted by other users, except as set out in Section 6.
You agree to indemnify, defend, and hold harmless Textile and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any right of a third party.
These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in [County, State], and you consent to personal jurisdiction there.

Export Compliance. You may not use the Service in violation of applicable export control or economic sanctions laws, and represent that you are not located in, or a resident of, any country subject to a U.S. government embargo, and are not on any U.S. government restricted-party list.
Notices. We may provide notices to you by email, through the Service, or by other reasonable means.
